3                            SysInfo Version 4.0

5GRANT. MagniComp grants you a non-exclusive license to use SysInfo version
64.0 and all subsequent versions called 4.0.X software (the "Software") free
7of charge for sixty (60) days for evaluation (the "Evaluation") and trial
8purposes only. After this period you agree to pay for this license as
9indicated in our catalog or you must cease use of the Software and remove
10(uninstall) it from any and all systems on which it was installed. If you
11are a full-time, non-profit educational institution or have non-profit, tax
12exempt status from the US government, this does not apply and you may use
13the Software free of charge.

15This license does not entitle you to hard-copy documentation, support or
16telephone assistance. MagniComp reserves the right at any time to alter
17prices, features, specifications, capabilities, functions, licensing terms,
18general availability of the Software.

20SCOPE OF GRANT:

22You may:

24   * use the Software only on the number of computers you have indicated in
25     your license request;
26   * use the Software on a network, provided the total number of computers
27     which has access to the Software does not exceed the number of
28     computers you have indicated in your license request;
29   * copy the Software for archival purposes, provided any copy must contain
30     all of the original Software's proprietary notices.

32You may not:

34   * modify or in any way disable any part of the Software which deals with
35     enforcement of this License;
36   * permit other individuals to use the Software except under the terms
37     listed above;
38   * use the Software on more than the licensed number of hosts indicated in
39     your license request;
40   * modify, translate, reverse engineer, decompile, disassemble (except to
41     the extent applicable laws specifically prohibit such restriction), or
42     create derivative works based on the Software;
43   * redistribute the Software as part of any for-profit product or service
44     provided to a customer without prior written agreement;
45   * rent, lease, grant a security interest in, or otherwise transfer rights
46     to the Software; or
47   * remove any proprietary notices or labels on the Software.

49TITLE. Title, ownership rights, and intellectual property rights in the
50Software shall remain in MagniComp and/or its suppliers. The Software is
51protected by copyright and other intellectual property laws and by
52international treaties. Title and related rights in the content accessed
53through the Software is the property of the applicable content owner and may
54be protected by applicable law. This license gives you no rights to such
55content.

57TERMINATION. The license will terminate automatically if you fail to comply
58with the limitations described herein. Upon termination of this license, you
59agree to destroy all copies of the Software.

61DISCLAIMER OF WARRANTY. The Software is provided on an "AS IS" basis,
62without warranty of any kind, including without limitation the warranties of
63merchantability, fitness for a particular purpose and non-infringement. The
64entire risk as to the quality and performance of the Software is borne by
65you. Should the Software prove defective, you and not MagniComp or its
66suppliers assume the entire cost of any service and repair. In addition, the
67security mechanisms implemented by MagniComp software have inherent
68limitations, and you must determine that the Software sufficiently meets
69your requirements. This disclaimer of warranty constitutes an essential part
70of the agreement. SOME JURISDICTIONS DO NOT ALLOW EXCLUSIONS OF AN IMPLIED
71WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER
72LEGAL RIGHTS THAT VARY BY JURISDICTION.

74LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO LEGAL THEORY,
75TORT, CONTRACT, OR OTHERWISE, SHALL MAGNICOMP OR ITS SUPPLIERS OR RESELLERS
76BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL,
77OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION,
78DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR
79MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT
80WILL MAGNICOMP BE LIABLE FOR ANY DAMAGES, EVEN IF MAGNICOMP SHALL HAVE BEEN
81INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER
82PARTY. THIS LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR DEATH
83OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW PROHIBITS SUCH LIMITATION.
84FURTHERMORE, SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF
85INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION MAY
86NOT APPLY TO YOU.

88HIGH RISK ACTIVITIES. The Software is not fault-tolerant and is not
89designed, manufactured or intended for use or resale as on-line control
90equipment in hazardous environments requiring fail-safe performance, such as
91in the operation of nuclear facilities, aircraft navigation or communication
92systems, air traffic control, direct life support machines, or weapons
93systems, in which the failure of the Software could lead directly to death,
94personal injury, or severe physical or environmental damage ("High Risk
95Activities"). MagniComp and its suppliers specifically disclaim any express
96or implied warranty of fitness for High Risk Activities.

98MISCELLANEOUS. This Agreement represents the complete agreement concerning
99this license and may be amended only by a written agreement executed by both
100parties. If any provision of this Agreement is held to be unenforceable,
101such provision shall be reformed only to the extent necessary to make it
102enforceable. This Agreement shall be governed by California law (except for
103conflict of law provisions).
